These Terms and Conditions ("Terms") govern your use of the Closr mobile application and related services (the "Service") provided by Closr ("Closr", "we", "us", "our").
By creating an account, accessing, or using the Service, you agree to these Terms.
Eligibility
You must be legally capable of entering a binding agreement in your jurisdiction. By using the Service, you represent that you meet this requirement.
Account Registration and Security
You are responsible for:
- providing accurate account information
- maintaining the confidentiality of your credentials
- all activity under your account
- promptly notifying us of unauthorized use
We may suspend or terminate accounts that violate these Terms or present security risk.
Description of the Service
Closr is designed for paired users to manage shared relationship planning and coordination features, including reminders, mood logs, pairing workflows, and notification-driven nudges.
Core functionality may include:
- account and pairing via invite code
- shared reminders/events-like entries
- mood logging
- local and push notifications
- sync and offline support
- optional subscription-gated features if enabled
Features may evolve over time.
PartnerPairing& Visibility
Pairing may be required for full functionality. When paired, you and your partner may view and interact with shared couple data as designed by product behavior, including reminders and related completion states.
You acknowledge that:
- shared couple content is intended for both paired users
- certain profile/display data may be visible to your paired partner
- unpairing/re-pairing behavior may affect access to shared content
Unpairing Effects
If you or your partner unpairs, access to shared content may change immediately and some shared content may be archived, removed, or otherwise handled according to current product behavior and applicable retention practices. You acknowledge that your partner's unpairing action may affect your access to shared content.
Shared Content
Content shared through paired features may be visible to your partner. You should only share content you are comfortable sharing in that context.
Acceptable Use
You agree not to:
- violate applicable law
- infringe others' rights
- upload malicious code or interfere with system integrity
- attempt unauthorized access to accounts, infrastructure, or data
- use the Service for abuse, harassment, fraud, or harmful conduct
- reverse engineer or misuse the Service except where non-waivable law permits
User Content
"User Content" includes data you submit, such as reminder text, onboarding answers, and mood entries.
You retain ownership of your User Content. You grant Closr a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and display User Content solely to operate, maintain, and improve the Service.
You represent that your User Content does not violate law or third-party rights.
Notifications & Permissions
Closr may request device permissions (such as notifications) to deliver reminder and engagement functionality. If permissions are denied, some features may not function as intended.
Purchases, Trials & Subscriptions
If Closr offers paid plans:
- billing is handled by the applicable app store and/or configured subscription processor
- subscription terms, renewals, cancellations, and refunds are governed by the purchase platform's policies and applicable law
- entitlements may be shared within paired usage according to product design
You are responsible for managing your subscription via the applicable platform account settings.
Third-Party Services
The Service depends on third-party providers (for example Firebase, Google Sign-In, Apple Sign-In, push infrastructure, app stores, and subscription tooling where enabled). We are not responsible for third-party services outside our control.
Service Availability and Changes
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, subject to applicable law. We do not guarantee uninterrupted availability.
Privacy
Use of the Service is also governed by the Closr Privacy Policy. By using the Service, you acknowledge the data practices described there.
Intellectual Property
The Service, including software, branding, UI, and content provided by Closr, is protected by intellectual property laws. Except for rights expressly granted in these Terms, all rights are reserved.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE FULLEST EXTENT PERMITTED BY LAW.
CLOSR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Closr is not a medical, mental health, legal, or emergency service, and does not provide professional advice.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOSR'S TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE MAXIMUM LIMIT PERMITTED UNDER APPLICABLE LAW OR THE AMOUNT YOU PAID FOR THE SERVICE, WHICHEVER LIMITATION IS ENFORCEABLE IN YOUR JURISDICTION.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold harmless Closr and its affiliates from claims, liabilities, damages, and expenses arising from:
- your misuse of the Service
- your violation of these Terms
- your violation of law or third-party rights
Termination
You may stop using the Service at any time. We may suspend or terminate access for violations, legal requirements, or security reasons.
Sections that by nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions) survive.
Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction where the Service operator is established, without regard to conflict-of-law principles, unless mandatory consumer law requires otherwise.
Disputes will be resolved as set out in your applicable service terms, dispute process, and governing law requirements. Where arbitration or alternative dispute resolution is offered, it will be described in the production version of these Terms.
Changes to These Terms
We may update these Terms from time to time. We will update the "Last Updated" date and provide additional notice where required by law. Continued use after changes become effective constitutes acceptance of updated Terms.
